Passed by the 205th Annual Meeting of the Massachusetts Conference, United Church of Christ, June 12, 2004
Whereas, the Massachusetts Conference of the United Church of Christ (the “MACUCC”) has entered into discussions with the South Middlesex Opportunity Council, Inc. (SMOC), a Massachusetts nonprofit corporation which qualifies as a charitable organization under section 501(c)(3) of the Internal Revenue Code, for the use of the building located at the MACUCC’s Headquarters in Framingham, Massachusetts, known as Scudder House for charitable purposes, namely, as a transitional sober housing residential facility for formerly homeless women;
Whereas, such discussions include the possibility of the MACUCC leasing Scudder House and land adjacent thereto to SMOC, including but not limited to any such lease being for the nominal rent of $1.00 per year, for a term of years of up to fifty (50) years;
Whereas, such discussions include the possibility of the MACUCC granting easements to SMOC for the use of the MACUCC’s land adjacent to Scudder House and/or land giving access from Scudder House to Badger Road, for parking purposes, utility purposes, and driveway purposes;
Whereas, such discussions include the possibility of Scudder House being renovated, reconstructed, or rebuilt by SMOC to accomplish such charitable purposes;
Whereas, such discussions include the possibility of Scudder House being renovated, reconstructed, or rebuilt by SMOC to accomplish such charitable purposes;
Whereas, such discussions include the possibility of SMOC borrowing funds from an institutional lender to fund such renovations, building, etc.;
Therefore be it Resolved:
That the Board of Directors of the MACUCC undertake discussions with the South Middlesex Opportunity Council, Inc., a Massachusetts nonprofit corporation (“SMOC”), for the development and use of the MACUCC’s building known as Scudder House, together with land adjacent thereto and land granting access to Scudder House, for charitable purposes, namely, as a transitional sober housing residential facility for formerly homeless women; and be it further
Resolved: That the Board of Directors of the MACUCC is hereby authorized to enter into such leases, easements, covenants and restriction agreements, and any other agreements, including, but not limited to, a Memorandum of Understanding setting forth the roles and responsibilities of the parties with SMOC as the Board of Directors of the MACUCC deems necessary and proper for the development and operation of Scudder House by SMOC for such charitable purposes, namely, as a transitional sober housing residential facility for formerly homeless women, and for the renovation, reconstruction, and/or rebuilding of Scudder House by SMOC to accomplish such charitable purposes; and be it further
Resolved: That the Board of Directors of the MACUCC may delegate to any one or more of the officers of the MACUCC such authority as the Board of Directors of the MACUCC deems necessary, proper and appropriate to carry out the intentions of the above resolutions.
